About the role

The Director, Global Corporate Development leads end‑to‑end M&A transactions for the Americas within the Global Corporate Development team of Wolters Kluwer’s Global Strategy group, reporting to the VP Americas and acting as a senior individual contributor with visibility to the CEO and senior leadership.

Requirements

  • 9–12 years experience in investment banking, private equity or corporate development with a strong record of leading M&A transactions.
  • Significant experience in software, AI and SaaS M&A with deep understanding of subscription and usage‑based revenue models.
  • Experience negotiating commercial deal points (valuation, price adjustments, covenants, reps & warranties) and reviewing disclosures against diligence findings.
  • Bachelor’s degree in Business, Finance, Economics, Mathematics or related field; MBA strongly preferred.
  • Demonstrated end‑to‑end transaction leadership including negotiation of valuation and commercial terms and development of investment memos.
  • Strong financial judgement; ability to assess and challenge financial models and solid understanding of financial statements.
  • Executive presence with proven ability to influence senior executives and operate in ambiguous, high‑stakes environments.
  • Exceptional written and verbal communication; ability to synthesize complex information into concise executive materials.
  • Preference for structured, standardized work style and strong project‑management on compressed timelines.
  • Intellectual curiosity about diverse businesses, emerging industries and applied AI.
  • Proactive self‑starter with ownership, attention to detail, urgency and adaptability.
  • Preferred AI fluency: hands‑on experience building M&A workflows using ChatGPT, Claude, Copilot or similar platforms.
  • Advanced Excel (valuation and driver‑based models), PowerPoint and Word; proficient with CapitalIQ, PitchBook and data‑room management.
